Terms of Service
1. Acceptance of these Terms
These Terms of Service (the “Terms”) form a binding legal agreement between you (“you,” “Member,” or “User”) and TemamilaGroup LLC d/b/a Creative Lead Flow (“Creative Lead Flow,” “we,” “us,” or “our”). They govern your access to and use of the Creative Lead Flow membership, website at creativeleadflow.com, our Whop community and storefront, our Telegram channels, our live training sessions, our courses, and all software tools, templates, data, and materials we make available (collectively, the “Services”).
By purchasing a membership, creating an account, clicking “I agree,” joining our community, or otherwise accessing the Services, you confirm that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, Return & Refund Policy, and End User License Agreement (“EULA”), each of which is incorporated into these Terms by reference.
If you do not agree to these Terms, do not purchase a membership and do not use the Services.
2. Eligibility
To use the Services you must:
- be at least eighteen (18) years of age and able to form a binding contract;
- provide accurate, current, and complete registration information;
- not be barred from receiving services under the laws of the United States or any other applicable jurisdiction; and
- not be located in, organized under the laws of, or ordinarily resident in a country or territory subject to comprehensive U.S. economic sanctions, and not be listed on any U.S. government restricted-party list, including the U.S. Treasury Department’s Specially Designated Nationals and Blocked Persons List.
The Services are designed around the United States real estate market. We make no representation that the Services are appropriate or available for use in any other jurisdiction.
3. What the Services are — and what they are not
3.1 What you receive
A Creative Lead Flow membership provides access to some or all of the following, depending on the plan you purchase:
- Software tools, including Ultimate Offer Blaster, Click&Offer, NapkinSigned, SmartDeal365, and our Real Estate AI assistant;
- The Ultimate Vault — contract templates, scripts, checklists, title company references, agent lists, and related resources;
- Community access through Whop and Telegram;
- Weekly live group training and Q&A sessions conducted over video conference;
- A step-by-step beginner course in wholesaling and creative acquisition strategies;
- Deal flow visibility through our marketplace and joint-venture opportunities, on terms agreed separately for each transaction.
The specific composition of the Services may change over time as we add, retire, or replace features. We will not materially reduce the core value of a paid plan during a billing period you have already paid for.
3.2 What the Services are not
CREATIVE LEAD FLOW IS AN EDUCATION, SOFTWARE, AND COMMUNITY COMPANY. WE ARE NOT A LICENSED REAL ESTATE BROKERAGE, A LAW FIRM, A TITLE OR ESCROW COMPANY, A MORTGAGE LENDER OR BROKER, A CERTIFIED PUBLIC ACCOUNTING FIRM, A REGISTERED INVESTMENT ADVISER, OR A BROKER-DEALER. NOTHING IN THE SERVICES CONSTITUTES LEGAL, TAX, ACCOUNTING, APPRAISAL, BROKERAGE, LENDING, OR INVESTMENT ADVICE, AND NOTHING IN THE SERVICES CREATES AN ATTORNEY-CLIENT, BROKER-CLIENT, FIDUCIARY, PARTNERSHIP, JOINT VENTURE, OR AGENCY RELATIONSHIP BETWEEN YOU AND US UNLESS SET OUT IN A SEPARATE SIGNED WRITTEN AGREEMENT.
You are solely responsible for engaging your own licensed attorney, accountant, tax adviser, title company, and any other professional appropriate to your transactions and jurisdiction. Real estate law, licensing requirements, and rules governing wholesaling, assignment of contracts, and creative financing vary substantially from state to state and change over time.
4. No earnings guarantee
Real estate investing carries significant financial risk, including the risk of total loss. Your results depend on factors we do not control: your market, your capital, your credit, your time commitment, your negotiating ability, your compliance with local law, your execution, and general economic conditions.
WE DO NOT GUARANTEE THAT YOU WILL CLOSE ANY DEAL, EARN ANY INCOME, RECOVER YOUR MEMBERSHIP FEES, OR ACHIEVE ANY PARTICULAR RESULT. ANY DEAL COUNTS, DOLLAR VOLUMES, TIMEFRAMES, CASE STUDIES, SCREENSHOTS, TESTIMONIALS, OR EXAMPLES SHOWN ANYWHERE IN OUR MARKETING OR INSIDE THE SERVICES ARE ILLUSTRATIONS OF WHAT SOME PARTICIPANTS HAVE ACHIEVED. THEY ARE NOT TYPICAL, NOT PROMISED, AND NOT A PREDICTION OF YOUR OUTCOME. AGGREGATE FIGURES WE PUBLISH DESCRIBE THE COMBINED TRANSACTION VOLUME OF OUR COMMUNITY AS A WHOLE OVER MULTIPLE YEARS. THEY DO NOT DESCRIBE THE PERSONAL ASSETS, NET WORTH, OR EARNINGS OF ANY INDIVIDUAL, AND THEY DO NOT DESCRIBE WHAT A NEW MEMBER SHOULD EXPECT.
References to closing a first deal within any particular period describe our support commitment and the pace some members achieve. They are a goal, not a warranty, and they are not a condition of any refund.
5. Accounts and security
Membership is personal to you. One account is licensed to one individual.
- You must keep your login credentials confidential and must not share, sell, lease, or transfer access to your account.
- You are responsible for all activity occurring under your account.
- You must notify us immediately at support@creativeleadflow.com if you learn of any unauthorized use.
- Businesses purchasing on behalf of a team must purchase one membership per individual user unless we agree otherwise in writing.
Credential sharing, concurrent logins from unrelated locations, or distribution of member-only materials outside the community are material breaches of these Terms and may result in immediate termination without refund.
6. Membership, billing, and automatic renewal
6.1 Plans and pricing
Memberships are sold on a recurring subscription basis. Current pricing, plan options, and billing frequency are shown at checkout at the time of purchase, and the price shown at checkout governs your purchase. We may change pricing for future billing periods on at least thirty (30) days’ notice to the email address on your account; changes never apply retroactively to a period you have already paid for.
6.2 Payment processing
Payments are processed by our third-party payment partners, including Whop and Stripe. We do not receive or store your full payment card number. Your purchase is also subject to the terms of the applicable payment processor. You authorize us and our processors to charge your selected payment method for all fees, plus any applicable taxes.
Automatic renewal — please read. Your membership renews automatically at the end of each billing period (monthly or annual, as selected) and your payment method is charged the then-current rate for the next period, until you cancel. There is no long-term contract. You may cancel at any time, and cancellation takes effect at the end of the billing period then in progress.
6.3 Failed payments
If a charge is declined, we may retry the charge and may suspend access until payment succeeds. Accounts that remain unpaid may be terminated and their data deleted.
6.4 Cancellation and refunds
Cancellation and refund terms are set out in full in our Return & Refund Policy, which forms part of these Terms.
6.5 Taxes
Prices are stated exclusive of taxes unless indicated otherwise. You are responsible for all sales, use, VAT, GST, and similar taxes associated with your purchase, other than taxes on our net income.
7. Your compliance obligations
This section is important. Our tools can send outreach at volume and can generate transaction documents. You, not Creative Lead Flow, are the sender, the offeror, and the principal in everything you do with them.
You agree that, in connection with your use of the Services, you will at all times comply with all applicable laws, including without limitation:
- the federal CAN-SPAM Act and all state commercial email statutes, including the Washington Commercial Electronic Mail Act;
- the Telephone Consumer Protection Act (TCPA), the FCC’s implementing rules, the National Do Not Call Registry, and all state telemarketing, autodialer, and calling-time statutes;
- all state and local real estate licensing laws, including statutes and regulations governing wholesaling, equitable interest, assignment of purchase contracts, and advertising of property you do not own;
- the Fair Housing Act and all fair housing, anti-discrimination, and fair lending laws;
- all laws governing consumer protection, unfair or deceptive acts and practices, foreclosure rescue and equity-skimming, and contact with distressed or default-status homeowners;
- the Garn-St Germain Depository Institutions Act and the terms of any existing loan where you acquire property subject to existing financing;
- all data protection and privacy laws applicable to the seller, buyer, and lead data you collect and process; and
- U.S. export control and economic sanctions laws.
You are solely responsible for scrubbing your lists, honoring opt-outs and do-not-contact requests, maintaining your own sending domains and messaging registrations, obtaining any consent required before contacting a person, and determining whether a given strategy is permitted in your state. We provide no legal opinion and no compliance assurance on these matters.
You agree to indemnify us in accordance with Section 14 for any claim arising from your failure to comply with this Section 7.
8. Templates, generated documents, and third-party data
8.1 Contract templates and NapkinSigned output
Templates in the Ultimate Vault and documents generated by NapkinSigned are provided as starting points and drafting aids only. They were not prepared by an attorney for your specific transaction, they are not guaranteed to comply with the law of any particular state, and they may be outdated relative to current statutes or case law.
You agree to have every document reviewed by a licensed attorney in the relevant jurisdiction, and by your title or escrow company, before you present it to a counterparty or rely on it. You are licensed to use generated documents in your own transactions only; you may not resell, republish, or distribute them as a product.
8.2 Property data, comps, and valuations
The Services surface data drawn from third-party sources, including public county records, listing portals, and commercial real estate data providers. Automated valuations, repair estimates, comparable-sales selections, rent projections, and offer calculations are estimates produced by software, not appraisals, broker price opinions, or inspection reports.
Data may be incomplete, delayed, mis-keyed at the source, or simply wrong. You are responsible for independently verifying every material fact — ownership, liens, encumbrances, title status, occupancy, square footage, condition, zoning, permits, taxes, and payoff figures — before making an offer, signing, or closing. Your use of any third-party data source is also subject to that provider’s own terms of use.
8.3 AI-assisted output
Our Real Estate AI assistant and other AI-assisted features generate output probabilistically. Output may be inaccurate, incomplete, outdated, or misleading, and similar prompts may produce similar output for different members. As between you and us, you may use the output for your own business purposes; we make no warranty as to its accuracy, originality, or fitness, and you must review it before relying on it or sending it to anyone.
9. SmartDeal365, the marketplace, and member transactions
SmartDeal365 and our community channels allow members to post, share, and market real estate opportunities and to find joint-venture partners.
- We provide a venue only. We are not a party to, broker of, or guarantor of any transaction between members, or between a member and any seller, buyer, lender, or third party.
- We do not verify the accuracy of member-posted deals, the existence of equitable interest, the condition of any property, or the ability of any party to perform.
- Any joint venture, assignment split, fee arrangement, or partnership between you and Creative Lead Flow — including any arrangement described as a 50/50 split on an assignment — is effective only when documented in a separate written agreement signed for that specific transaction. Marketing descriptions of such arrangements are not themselves an offer or a binding commitment.
- You conduct your own due diligence on every counterparty and every property.
10. Acceptable use
You agree not to, and not to permit any third party to:
- share, resell, sublicense, stream, record, or redistribute any part of the Services, including training sessions, recordings, course content, templates, scripts, or proprietary lists;
- scrape, crawl, harvest, or bulk-extract data, member information, or content from the Services;
- reverse engineer, decompile, or attempt to derive the source code or underlying models of any tool, except to the extent this restriction is unenforceable under applicable law;
- use the Services to build, train, or improve a competing product, course, or community;
- use the Services to send unlawful, deceptive, harassing, or unsolicited communications in violation of Section 7;
- misrepresent your identity, licensing status, ownership of a property, or authority to sell;
- solicit, poach, or spam other members for unrelated offers, recruit members into other programs, or harvest member contact details for outside marketing;
- upload malware, attempt to breach security, circumvent access controls or usage limits, or interfere with the operation of the Services;
- post content that is unlawful, defamatory, discriminatory, obscene, or infringing; or
- use the Services in any manner that exposes us to legal liability or regulatory scrutiny.
10.1 Community conduct and confidentiality
Members share live deal information, numbers, seller situations, and strategies in good faith. You agree to treat non-public deal information shared inside the community as confidential, to use it only to evaluate participation in that opportunity, and not to circumvent the member who introduced it. Personal attacks, harassment, discriminatory language, and disruptive self-promotion are grounds for removal without refund.
11. Intellectual property
11.1 Our property
All content, software, tools, course materials, templates, scripts, recordings, graphics, data compilations, trademarks, logos, and the “Creative Lead Flow” and “USAbyTemamila” names are owned by us or our licensors and are protected by U.S. and international intellectual property law.
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services and to use the materials for your own internal business purposes only, for the duration of your active membership. The license to use our software tools is further governed by the EULA. All rights not expressly granted are reserved. This license terminates automatically when your membership ends.
11.2 Your content
You retain ownership of the content you submit — posts, questions, deal data, uploaded files, and comments (“Member Content”). You grant us a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, and distribute Member Content to the extent necessary to operate and improve the Services and to moderate the community. You represent that you have the rights necessary to grant this license and that your Member Content does not infringe any third party’s rights or violate any privacy obligation you owe.
11.3 Testimonials and session recordings
Live sessions may be recorded. By participating with your camera or microphone enabled, you consent to being recorded and to our use of that recording inside the Services for member replay. We will not use your name, image, voice, or results in external advertising without your separate consent, which you may withdraw prospectively at any time by writing to support@creativeleadflow.com.
11.4 Copyright complaints
If you believe material available through the Services infringes your copyright, send a notice meeting the requirements of 17 U.S.C. § 512(c)(3) to support@creativeleadflow.com. We will respond as required by the Digital Millennium Copyright Act and will terminate repeat infringers.
12. Suspension and termination
By you. You may cancel at any time as described in the Return & Refund Policy.
By us. We may suspend or terminate your access, with or without notice, if you breach these Terms, if your conduct exposes us or other members to legal risk, if payment fails, if you initiate a chargeback, or if we discontinue the Services. Where the circumstances reasonably permit, we will give you notice and an opportunity to cure.
Effect. On termination, your license ends immediately, access to tools, community channels, and materials ceases, and we may delete your data after a reasonable period. Sections 3.2, 4, 7, 8, 11, 13, 14, 15, 16, and 18 survive termination.
13. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DATA WILL BE ACCURATE OR CURRENT; THAT MESSAGES SENT THROUGH ANY TOOL WILL BE DELIVERED; OR THAT THE SERVICES WILL PRODUCE ANY PARTICULAR RESULT.
Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the fullest extent permitted, and you may have additional rights that these Terms do not limit.
14. Limitation of liability and indemnity
14.1 Limitation
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER CREATIVE LEAD FLOW NOR ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, INSTRUCTORS, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DEALS, LOST EARNEST MONEY, LOST DATA, LOST BUSINESS OPPORTUNITY, REGULATORY FINE, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
These limitations apply regardless of the theory of liability and form an essential basis of the bargain between us. Nothing in these Terms excludes liability for fraud, fraudulent misrepresentation, or any liability that cannot lawfully be excluded.
14.2 Indemnification
You agree to indemnify, defend, and hold harmless Creative Lead Flow and its members, managers, officers, employees, contractors, and instructors from and against any claim, demand, action, loss, liability, penalty, judgment, or expense, including reasonable attorneys’ fees, arising out of or relating to: (a) your use of the Services; (b) your real estate transactions and your dealings with any seller, buyer, lender, agent, or partner; (c) your breach of these Terms, the EULA, or Section 7; (d) any communication you send using our tools; (e) your Member Content; or (f) your violation of any law or third-party right.
15. Dispute resolution and binding arbitration
Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.
15.1 Informal resolution first
Before starting formal proceedings, you agree to contact us at support@creativeleadflow.com with a written description of the dispute and the relief you seek. The parties will attempt in good faith to resolve the matter for sixty (60) days. This step is a precondition to arbitration.
15.2 Binding arbitration
If the dispute is not resolved, it will be settled by final and binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, before a single arbitrator. The seat of arbitration is Spokane County, Washington, and proceedings may be conducted by videoconference or on documents where the AAA rules allow. The arbitrator has exclusive authority to resolve disputes about the interpretation, applicability, or enforceability of this agreement to arbitrate. Judgment on the award may be entered in any court of competent jurisdiction.
15.3 Class action waiver
YOU AND CREATIVE LEAD FLOW AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS. IF THIS WAIVER IS FOUND UNENFORCEABLE AS TO A PARTICULAR CLAIM, THAT CLAIM SHALL PROCEED IN COURT AND ALL OTHER CLAIMS SHALL REMAIN IN ARBITRATION.
15.4 Exceptions
Either party may bring an individual claim in small claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.
15.5 Thirty-day opt-out
You may opt out of Sections 15.2 and 15.3 by sending written notice to support@creativeleadflow.com within thirty (30) days of first accepting these Terms, stating your name, the email on your account, and your intent to opt out. Opting out does not affect any other part of these Terms.
16. Governing law and venue
These Terms and any dispute arising out of them are governed by the laws of the State of Washington, United States, without regard to its conflict-of-laws rules, and by the Federal Arbitration Act as to Section 15. For any matter not subject to arbitration, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in Spokane County, Washington. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
17. Communications and notices
By creating an account, you consent to receive service-related communications from us by email, in-app message, and, where you provide a mobile number and opt in, by SMS. Message and data rates may apply; reply STOP to opt out of marketing SMS and HELP for assistance. Opting out of marketing does not stop transactional messages about your account, billing, or access.
Legal notices to us must be sent to support@creativeleadflow.com and to 816 West Francis Ave #1062, Spokane, WA 99205. Notices to you are effective when sent to the email address on your account.
18. General
- Changes. We may update these Terms. Material changes take effect thirty (30) days after we post the updated version and notify you by email or in-app notice. Continued use after the effective date constitutes acceptance. If you do not accept, your remedy is to cancel before the change takes effect.
- Entire agreement. These Terms, together with the Privacy Policy, Return & Refund Policy, and EULA, are the entire agreement between you and us regarding the Services and supersede all prior discussions, marketing statements, and representations.
- Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will stay in force.
- No waiver. Our failure to enforce any provision is not a waiver of it.
- Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, reorganization, or sale of assets.
- Force majeure. We are not liable for delay or failure caused by events beyond our reasonable control, including outages of third-party platforms on which the Services depend.
- No third-party beneficiaries. These Terms do not create rights in any person other than you and us.
- Independent contractors. Nothing here creates an employment, partnership, franchise, or agency relationship between you and us.
- Headings. Headings are for convenience only and do not affect interpretation.
- Language. The controlling version of these Terms is the English-language version. Any translation is provided for convenience only.
