End User License Agreement
1. This agreement
This End User License Agreement (the “EULA”) is a binding contract between you (“you,” “Licensee”) and TemamilaGroup LLC d/b/a Creative Lead Flow (“Creative Lead Flow,” “we,” “us”). It governs your use of our proprietary software, tools, templates, data compilations, and generated output.
By accessing or using any tool provided as part of a Creative Lead Flow membership, you accept this EULA. It supplements our Terms of Service, which are incorporated here by reference. Where this EULA and the Terms of Service conflict on a matter of software licensing, this EULA governs.
2. Definitions
- “Software” means our proprietary tools and any updates, including Ultimate Offer Blaster, Click&Offer, NapkinSigned, SmartDeal365, our Real Estate AI assistant, the calculators and builders in the Ultimate Vault, and any successor or additional tool we make available.
- “Materials” means contract templates, scripts, checklists, spreadsheets, lists, and other resources distributed with the Software.
- “Output” means documents, offers, messages, analyses, valuations, and other content the Software produces for you.
- “Licensee Data” means data you upload, import, or enter, including lead lists, property data, and counterparty information.
3. License grant
Subject to your continuous compliance with this EULA and payment of all fees, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, personal license to access and use the Software and Materials, in object-code or hosted form only, for your own internal real estate business purposes, for as long as your membership is active.
This is a license, not a sale. We and our licensors retain all right, title, and interest in the Software, the Materials, and all intellectual property in them. All rights not expressly granted are reserved.
3.1 One user per license
A license is issued to one named individual. If you operate as a company, each individual who uses the Software needs their own license. Sharing credentials, operating a shared team account, or providing access to a virtual assistant, contractor, or partner under your login requires our prior written consent.
4. Restrictions
You will not, and will not allow anyone else to:
- copy, modify, adapt, translate, or create derivative works of the Software or Materials, except as expressly permitted;
- reverse engineer, decompile, disassemble, or attempt to derive source code, model weights, prompts, algorithms, or data schemas, except to the extent this restriction is prohibited by applicable law;
- sell, rent, lease, lend, sublicense, white-label, distribute, host as a service, or otherwise commercially exploit the Software, Materials, or Output as a product of your own;
- republish, repackage, or resell our templates, scripts, data compilations, agent lists, or resource libraries;
- use the Software or Materials to develop, train, benchmark, or market a competing tool, course, community, or service;
- scrape, crawl, bulk-download, or systematically extract data, member information, or content from the Software, or use bots, scripts, or automation not provided by us to interact with it;
- exceed, circumvent, or manipulate any usage limit, rate limit, seat limit, quota, or access control;
- remove, obscure, or alter any copyright, trademark, watermark, or proprietary notice;
- use the Software in any manner that impairs its operation or the experience of other users; or
- use the Software for any unlawful purpose or in violation of Section 5.
Each of these is a material breach permitting immediate termination without refund.
5. Outreach compliance — Ultimate Offer Blaster and messaging tools
Our tools can generate and transmit a high volume of offers and messages. You are the sender of record, the offeror, and the party legally responsible for every communication you send. We provide the transmission mechanism only. We do not review, approve, or endorse your lists, your message content, or your consent basis.
By using Ultimate Offer Blaster or any other outreach feature, you represent and warrant, on an ongoing basis, that:
- you have a lawful basis to contact every recipient, including any consent required by law;
- you have scrubbed your lists against the National Do Not Call Registry, applicable state do-not-call lists, litigator and known-complainant lists, and your own internal suppression list;
- your messages comply with the CAN-SPAM Act, the Telephone Consumer Protection Act and FCC rules, state mini-TCPA statutes, the Washington Commercial Electronic Mail Act, and, where applicable, CASL and the GDPR;
- your messages include accurate sender identification, a valid physical postal address, and a functioning opt-out mechanism, and you process opt-outs promptly and permanently;
- you send only within lawful calling and messaging hours in the recipient’s time zone;
- your messages are not deceptive, do not misstate your licensing status or your ownership of or authority over any property, and comply with all state advertising rules governing the marketing of property in which you hold only an equitable interest;
- you comply with all fair housing and anti-discrimination law in the targeting and content of your outreach; and
- you use your own sending domains, sending accounts, and messaging registrations where the Software requires them, and you maintain those registrations in good standing.
You are solely responsible for any complaint, regulatory action, private right of action, statutory damages award, carrier penalty, blocklisting, or platform suspension arising from your outreach. You will indemnify us for all of it under Section 12.
We may impose or adjust sending limits, throttle or suspend your access, or terminate your license immediately and without notice if we receive credible complaints, detect patterns indicating unlawful sending, or are required to act by a carrier, provider, or regulator.
6. NapkinSigned and generated documents
NapkinSigned and the Materials produce drafting aids, not legal instruments prepared for your transaction.
NO DOCUMENT GENERATED BY OR DISTRIBUTED THROUGH THE SOFTWARE HAS BEEN PREPARED, REVIEWED, OR APPROVED BY AN ATTORNEY FOR YOUR SPECIFIC TRANSACTION OR JURISDICTION. WE ARE NOT A LAW FIRM AND DO NOT PROVIDE LEGAL SERVICES. NO ATTORNEY-CLIENT RELATIONSHIP IS CREATED. YOU MUST HAVE EVERY DOCUMENT REVIEWED BY A LICENSED ATTORNEY IN THE RELEVANT STATE, AND BY YOUR TITLE OR ESCROW COMPANY, BEFORE PRESENTING IT TO ANY COUNTERPARTY OR RELYING ON IT.
Real estate contract law, disclosure requirements, recording rules, and the enforceability of assignment and subject-to arrangements vary by state and change. You alone decide whether a document is appropriate, complete, and enforceable for your deal.
You may use generated documents only in transactions in which you are a principal or a properly disclosed and lawfully permitted participant. You may not distribute, resell, publish, or supply them as a product or service to others.
7. Property data, valuations, and third-party sources
The Software surfaces data from public records, listing portals, and commercial data providers, and computes estimates from it.
- Automated valuations, comparable-sales selections, repair estimates, rent projections, ARV figures, and suggested offer prices are software estimates. They are not appraisals, broker price opinions, inspections, or title reports, and they must not be presented to anyone as such.
- Source data may be incomplete, stale, mis-keyed, or wrong. You must independently verify ownership, liens, encumbrances, title status, occupancy, condition, square footage, zoning, permits, taxes, and payoff amounts before offering, signing, or closing.
- Your use of any third-party data source through the Software is also subject to that provider’s terms. You will not use our data access to build a competing database or to redistribute the underlying data.
- Data providers may change, restrict, or terminate access at any time. A feature that depends on a third-party source may be modified or withdrawn if that source becomes unavailable.
8. AI features
The Real Estate AI assistant and other AI-assisted features generate Output probabilistically using third-party model providers.
- Output may be inaccurate, incomplete, outdated, or fabricated. You must review and verify it before use.
- Output is not legal, tax, accounting, brokerage, appraisal, lending, or investment advice.
- Similar prompts may produce similar Output for different users; we make no claim that Output is unique to you, and we make no warranty regarding its originality or its status under copyright law.
- As between you and us, you may use Output for your own business purposes, subject to this EULA. We retain all rights in the Software that produced it.
- Do not submit confidential information, personal identification numbers, financial account numbers, or anything you would not want processed by a third-party model provider. See our Privacy Policy, Section 6.
9. Licensee Data
You retain ownership of Licensee Data. You grant us a non-exclusive license to host, process, transmit, and display it solely to operate the Software for you, to provide support, and to maintain security and backups.
You represent that you have all rights and lawful bases necessary to upload and process Licensee Data through the Software, including any consent required from the individuals it describes. You are responsible for the accuracy and legality of what you upload.
Export your data before your membership ends. On termination we may delete Licensee Data after a reasonable period, and we have no obligation to retain it.
10. Updates, availability, and support
We may modify, update, add, or retire features at any time. Updates are provided automatically and are covered by this EULA.
The Software is provided on a commercially reasonable efforts basis. We offer no uptime guarantee, no service level commitment, and no guarantee of message deliverability, API availability, or data-source continuity. We may perform maintenance, impose limits to protect the platform, or suspend access to address security, legal, or abuse issues.
Support is provided through the channels stated in your membership. Support does not include legal review of your documents, verification of your deals, or compliance assessment of your outreach.
11. Warranty disclaimer
THE SOFTWARE, MATERIALS, DATA, AND OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, QUIET ENJOYMENT, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DATA OR VALUATIONS WILL BE ACCURATE, THAT MESSAGES WILL BE DELIVERED OR WILL REACH AN INBOX, THAT DOCUMENTS WILL BE ENFORCEABLE, OR THAT USE OF THE SOFTWARE WILL PRODUCE ANY PARTICULAR BUSINESS RESULT.
12. Limitation of liability and indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DEALS, LOST EARNEST MONEY, LOST DATA, REGULATORY FINES OR STATUTORY DAMAGES, BLOCKLISTING, OR REPUTATIONAL HARM, ARISING OUT OF OR RELATING TO THE SOFTWARE, THE MATERIALS, THE DATA, OR THE OUTPUT.
OUR TOTAL AGGREGATE LIABILITY UNDER THIS EULA WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU ACTUALLY PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (USD $100).
You will indemnify, defend, and hold us harmless from any claim, demand, proceeding, loss, penalty, statutory damages award, judgment, or expense, including reasonable attorneys’ fees, arising out of or relating to: (a) your use of the Software, Materials, or Output; (b) any communication you send using the Software, including any TCPA, CAN-SPAM, state mini-TCPA, or do-not-call claim; (c) any document you generate, present, sign, or record; (d) Licensee Data and your processing of third-party personal information; (e) your real estate transactions and dealings with counterparties; or (f) your breach of this EULA or of applicable law.
13. Export control and sanctions
The Software is subject to U.S. export control and economic sanctions laws. You represent that you are not located in, ordinarily resident in, or organized under the laws of any country or region subject to comprehensive U.S. sanctions, and that you are not identified on any U.S. government restricted-party list. You will not export, re-export, or provide access to the Software in violation of those laws. We may suspend or terminate access immediately where compliance requires it.
14. Term and termination
This EULA takes effect when you first access the Software and continues while your membership is active.
It terminates automatically when your membership ends, and we may terminate it immediately on breach — in particular on credential sharing, redistribution, circumvention of limits, or unlawful outreach.
On termination: your license ends immediately; you must stop using the Software, Materials, and any downloaded copy; and you must delete local copies of Materials on request. Sections 4, 5, 6, 7, 8, 9, 11, 12, 13, 14, and 15 survive.
Documents you lawfully generated and executed in your own closed transactions before termination remain yours to keep and use for those transactions.
15. General
- Governing law and disputes. This EULA is governed by the laws of the State of Washington, United States, without regard to conflict-of-laws rules. Disputes are subject to the informal resolution, binding arbitration, class action waiver, and thirty-day opt-out provisions in Section 15 of the Terms of Service, which apply to this EULA in full.
- Changes. We may update this EULA. Material changes take effect thirty (30) days after posting, with notice by email or in-app message. Continued use constitutes acceptance; if you do not accept, stop using the Software and cancel your membership.
- Severability, waiver, assignment. If a provision is unenforceable it is modified to the minimum extent necessary and the rest stays in force. Failure to enforce is not a waiver. You may not assign this EULA; we may assign it to an affiliate or successor.
- U.S. Government end users. The Software is “commercial computer software” under FAR 12.212 and DFARS 227.7202. Government use is subject to the restrictions in this EULA.
- Entire agreement. This EULA, with the Terms of Service, Privacy Policy, and Return & Refund Policy, is the entire agreement on its subject matter.
- Language. The controlling version is the English-language version; translations are provided for convenience only.
